Terms of Service

Effective May 17, 2026

These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “Customer”) and PubGen.AI (“PubGen,” “we,” or “us”), governing your access to and use of the PubGen Paginator Adobe InDesign extension and its associated cloud services (collectively, the “Service”). By installing, activating, or using the Service, you accept these Terms. If you do not accept these Terms, do not use the Service.

1. License

Subject to your compliance with these Terms and payment of any applicable fees, PubGen grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Service on the number of devices and seats permitted by your license key, solely for your internal editorial and publishing operations.

You may not (a) copy, modify, distribute, sell, lease, or sublicense the Service; (b) reverse engineer, decompile, or attempt to derive source code from the Service except to the extent expressly permitted by applicable law; (c) remove, obscure, or alter any copyright, trademark, or other notices; (d) share your license key with persons or organizations outside your licensed seat count; or (e) use the Service to develop a competing product.

2. Accounts & License Keys

Each license key authorizes a fixed number of concurrent “seats.” The Service enforces seat limits and will evict the oldest active session when a new session would exceed the seat count. You are responsible for the confidentiality of your license key and for all activity that occurs under it. Notify us at support@pubgen.ai immediately if you suspect unauthorized use.

3. Acceptable Use

You agree not to use the Service to:

  • violate any law, regulation, or third-party right (including intellectual property and privacy rights);
  • generate, distribute, or place content that is unlawful, defamatory, harassing, hateful, or sexually explicit involving minors;
  • generate disinformation or material designed to mislead the public about identifiable persons or events;
  • attempt to bypass safety filters, rate limits, or other protective measures;
  • impersonate any person or organization, or misrepresent your affiliation;
  • interfere with or disrupt the Service, its servers, or its networks; or
  • use the Service for any activity that could damage, disable, or impair the Service.

We may suspend or terminate your license, with or without notice, for any breach of this Section 3.

4. AI Features

The Service includes AI-powered features (collectively, the “AI Features”), including text refinement (“Fit Overset”) and AI image generation. The AI Features are powered by third-party large-language and image-generation models, currently provided by OpenAI, and are subject to those providers’ usage policies.

Inputs and Outputs. “Inputs” means any text, image, frame dimensions, or other data you submit to the AI Features. “Outputs” means any text, images, or other content the AI Features generate in response. As between you and PubGen, and to the extent permitted by law and by the third-party model provider’s terms, PubGen assigns to you all rights it may have in the Outputs generated in response to your Inputs. You are responsible for reviewing every Output before publishing it.

No Guarantee. AI Outputs may be inaccurate, offensive, biased, or infringing on third-party rights. You assume sole responsibility for evaluating Outputs before relying on them or publishing them.

Logging & Product Improvement. PubGen logs every AI request — including the full prompt, model used, and a preview of the response — for purposes of operating the Service, debugging, abuse prevention, and product improvement, including fine-tuning models used in the Service. Rate Limits. AI Features are rate-limited per license key (currently 60 text requests/hour and 20 image generations/hour). Limits may change without notice.

5. Customer Content

You retain all rights in the InDesign documents, articles, RSS feeds, ads, and other content you load into the Service (“Customer Content”). You grant PubGen a limited, worldwide, royalty-free license to process Customer Content solely as necessary to operate and improve the Service in accordance with these Terms and our Privacy Policy.

You represent and warrant that (a) you own or have all necessary rights to the Customer Content; (b) the Customer Content does not infringe third-party rights or violate applicable law; and (c) you have obtained any consents required to submit personal data about identifiable individuals to the Service.

6. Third-Party Services

The Service relies on third-party services, including but not limited to OpenAI, Vercel, and Upstash. Your use of the Service through these providers is also subject to their respective terms and policies. PubGen is not responsible for the acts or omissions of any third-party provider.

7. Fees & Payment

Fees, if any, are as set out in your order or subscription. Fees are non-refundable except as required by law. You authorize PubGen to suspend the Service if fees are overdue.

8. Updates

PubGen may release updates, new versions, and changes to the Service from time to time. You agree that the Service may auto-update or require you to install updates to continue functioning. Some features may be added, modified, or removed at PubGen’s discretion.

9. Termination

These Terms remain in effect until terminated. You may terminate at any time by uninstalling the Service and discontinuing use. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, Sections 1 (last paragraph), 3, 5, 9, 10, 11, 12, 13, and 14 survive.

10. Disclaimer of Warranties

The Service and AI Outputs are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. PubGen does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that AI Outputs will be accurate, complete, or fit for any particular use.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will PubGen, its affiliates, contractors, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business, arising out of or related to these Terms or the Service, even if PubGen has been advised of the possibility of such damages.

PubGen’s aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees paid by you to PubGen for the Service in the 12-month period immediately preceding the event giving rise to the liability, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You will defend, indemnify, and hold harmless PubGen and its affiliates from and against any third-party claim arising out of (a) your Customer Content, (b) your use of AI Outputs, (c) your breach of these Terms, or (d) your violation of applicable law or third-party rights.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The federal and state courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms, and the parties consent to personal jurisdiction in those courts.

14. Miscellaneous

These Terms, together with the Privacy Policy and any ordering document, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements. We may modify these Terms by posting a revised version with a new Effective Date; your continued use of the Service after the new Effective Date constitutes acceptance. If any provision is held unenforceable, the remaining provisions remain in full force and effect. We may assign these Terms; you may not.
